§ 1 Scope

These General Terms and Conditions apply to all contracts concluded between Myeisha Vertriebsgesellschaft UG (haftungsbeschränkt) — hereinafter referred to as “Myeisha” — and consumers as well as business customers via the online shop at www.myeishanamibia.com.

A consumer within the meaning of these Terms is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed in nature (§ 13 BGB). A business customer is any natural or legal person, or a legally capable partnership, acting in the exercise of their commercial or self-employed professional activity when concluding a legal transaction (§ 14 BGB).

We do not accept any terms and conditions of the customer that conflict with or deviate from our Terms, unless we have expressly agreed to their validity in writing.

§ 2 Formation of Contract

The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to place an order (invitatio ad offerendum).

By clicking the “Buy now” or “Order with obligation to pay” button, you place a binding order for the products in your shopping cart. Confirmation of receipt of your order is sent automatically by email immediately after submission. This confirmation of receipt does not yet constitute acceptance of the offer.

The purchase contract is formed when we accept your order by a separate order confirmation email, or when we dispatch the goods. We reserve the right to decline orders without giving reasons.

The contract text will be stored by us after the contract is concluded. You will receive your order details and our Terms by email. Once logged into your customer account, you can view previously placed orders.

§ 3 Prices and Shipping Costs

All prices stated are final prices in euros and include the applicable statutory VAT.

Shipping costs apply to all deliveries. The applicable shipping costs will be clearly and transparently displayed during the checkout process before you place your order.

Shipping costs depend on the delivery country and parcel weight. Detailed information on shipping costs and delivery countries can be found on our shipping page.

§ 4 Payment

Payment is made exclusively via PayPal. During the order process, you will be redirected to the secure payment page of PayPal (Europe) S.à r.l. et Cie, S.C.A. Use of PayPal is subject to PayPal’s terms of use.

The purchase price is due upon completion of the order. Your PayPal account will be charged immediately after the order is placed.

We reserve the right to exclude certain payment methods or to add further payment options. Payment by invoice or cash on delivery is not available.

§ 5 Delivery and Delivery Times

We deliver worldwide, provided the delivery country is available for selection during the order process. Deliveries are made to the delivery address provided by the customer.

Stated delivery times are estimates and begin upon receipt of payment. The estimated delivery time will be communicated on the product page and during the order process.

If a product is unavailable or the delivery time is significantly extended, we will notify you without delay. In such cases, you have the right to withdraw from the contract. Any payments already made will be refunded immediately.

The risk of accidental loss or accidental deterioration of the goods passes to the customer as soon as the goods are handed over to the customer or to a third party designated by the customer who is not the carrier. If the customer is a business, the risk passes upon handover of the goods to the carrier.

§ 6 Retention of Title

The delivered goods remain our property until the purchase price has been paid in full.

§ 7 Right of Withdrawal

Consumers have the statutory right of withdrawal in accordance with the provisions set out in detail in our separate Cancellation Policy.

The withdrawal period is fourteen (14) days. We do not grant any voluntary right of return beyond the statutory right of withdrawal.

Return shipping costs: In the event of a withdrawal, the customer bears the direct costs of the return shipment (§ 357 para. 5 BGB).

No right of withdrawal exists in particular for contracts relating to goods that are manufactured to customer specifications or clearly tailored to personal requirements (§ 312g para. 2 no. 1 BGB).

Reimbursement of the purchase price and outbound shipping costs (standard delivery) will be made promptly upon receipt of the returned goods, within fourteen days at the latest, via the same payment method used in the original transaction.

§ 8 Warranty and Liability for Defects

Statutory warranty rights apply. The warranty period for newly delivered goods is two years from delivery for consumers.

Our products are unique items produced by hand. Minor variations in colour, texture, and dimensions inherent to the handcrafting process do not constitute a defect, provided they do not impair the usability of the item. We draw attention to this explicitly in our product descriptions.

To report a defect, please contact us in writing by email at info@myeishanamibia.com, including a description of the defect and photographs. We will respond within 5 business days.

§ 9 Liability

We are fully liable for damages arising from injury to life, body, or health, as well as for damages caused by intent or gross negligence, including those of our legal representatives or vicarious agents.

In cases of simple negligence, we are only liable for the breach of material contractual obligations (cardinal obligations) — i.e. obligations whose fulfilment is essential to the proper performance of the contract and on whose observance the customer may regularly rely. In such cases, liability is limited to the foreseeable, typically occurring damage.

The above limitations of liability do not apply where we have provided express guarantees, or to claims under the German Product Liability Act (Produkthaftungsgesetz).

§ 10 Data Protection

Information on the collection, processing, and use of your personal data can be found in our Privacy Policy, which forms part of these Terms.

§ 11 Online Dispute Resolution and Consumer Dispute Settlement

The European Commission provides a platform for online dispute resolution (ODR) at https://ec.europa.eu/consumers/odr/.

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. Our email address is: info@myeishanamibia.com

§ 12 Applicable Law and Jurisdiction

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). With respect to consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which they are habitually resident.

For customers who are business entities, the exclusive place of jurisdiction for all disputes arising from this contract is Stuttgart, Germany. For consumers, the statutory rules on jurisdiction apply.

§ 13 Final Provisions

Should any individual provisions of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by the applicable statutory rule.

We reserve the right to amend these Terms at any time with effect for the future. Contracts already concluded shall be governed by the Terms in force at the time of conclusion.
